Can I invest in the Fund offered by GPM Capital?

You are eligible to invest in our Fund if you meet the following criteria:

An accredited investor, sophisticated investor or an approved non accredited investor
A U.S. citizen or resident alien with a valid green card
A U.S. resident, or a U.S.-registered entity
Additionally, the Fund administrators will review and approve your account in accordance with anti-money laundering laws to ensure your eligibility to invest.

Investments can be made individually, jointly with a spouse, or through a self-directed IRA, trust, or entity.

How does the investing process work?

When an investor sends their funds, the money is securely held at a U.S. bank. Once you've created an account on our investor portal, the system will guide you through the subscription process. You can sign legal documents online and choose a bank account to fund your investment. The investment becomes final only after all legal documents are signed, funds have been contributed, cleared, and the investment is accepted by the capital call date set by the Fund.

Am I an accredited investor?

Accreditation is a definition, not a process. According to the SEC, accredited investors are those who meet the criteria to participate in certain private capital market deals. Generally, an individual is considered an accredited investor if they meet one of the following requirements:
Income Requirement:
Earn a pre-tax income exceeding $200,000 annually for the past two years ($300,000 jointly with a spouse or spousal equivalent), with the expectation of maintaining this level in the next year.
Net Worth Requirement:
Possess a net worth of more than $1,000,000, either alone or with a spouse or spousal equivalent, excluding the value of the primary residence.
Professional Certifications:
Hold certain professional certifications, designations, or licenses that are active and in good standing, typically including Series 7, Series 82, and Series 65 license holders.

Why am I being asked to supply additional information for accreditation verification?

The GPM Capital Group LLC platform is offered under Regulation D, Rule 506(b) of the Securities and Exchange Commission (SEC). This rule mandates verification of each member's accredited investor status.

What is needed to show that I am an accredited investor?

The following checklists provide guidance on the documentation required from investors to verify their status, depending on the chosen path.

Investing as an Individual or Jointly:

Third-Party Verification Letter: A signed and dated letter, within the last 90 days, from a registered broker-dealer, SEC-registered investment adviser, licensed attorney, or Certified Public Accountant, for each individual investor.

Proof of Income: Tax returns or W-2s from the past two years demonstrating income over $200k or joint income over $300k. Additionally, upload a written statement expressing the investor’s expectation to meet the income threshold in the current year.

Proof of Net Worth: Account statements (e.g., Money Market, IRA, Brokerage, or Checking Accounts) demonstrating a monetary value exceeding $1MM (net of liabilities). Also, authorization to run a credit report for verification purposes. Include a written statement confirming no additional material liabilities beyond those in the credit report.

Knowledgeable Employee/Partner: Provide evidence of employment or position.

 

Investors investing via a Trust or Entity:

Third-Party Verification Letter: Provide ownership documentation detailing all Owners/Members of the Entity. Include a signed and dated Third-Party Verification Letter, within the last 90 days, from a registered broker-dealer, SEC-registered investment adviser, licensed attorney, or Certified Public Accountant, for each individual Owner/Member.

Entity with Total Assets > $5MM: Include ownership documentation detailing all Owners/Members of the Entity. Upload a statement or other evidence, not older than 90 days, showing assets exceeding $5,000,000.

Trust with Assets > $5MM: Provide trust documents detailing all Trustees. Upload a statement or other evidence, not older than 90 days, showing assets exceeding $5,000,000.

Proof of Income for All Beneficial Owners of Entity: Include ownership documentation detailing all Owners/Members of the Entity. Provide tax returns or W-2s from the past two years demonstrating income over $200k or joint income over $300k for each Owner. How do I transfer funds into an investment?

ACH transfers can be used for investments up to $100,000, while amounts exceeding $100,000 should be transferred via wire.

Each investment opportunity will have a unique account and routing number provided to ensure that funds are correctly allocated to the investment.

 

How will my investment cash flow allocations be distributed?

Distributions will be sent to the bank account specified in the subscription documents, typically the same account used for the initial investment. However, we can accommodate requests to change the distribution account. For compliance purposes, any changes will require proof of valid ownership of the account.

Investors using a Self-Directed IRA will receive their distributions in their IRA account.

How often should distributions be expected?

Typically, investors receive distributions on a monthly basis. Distributions are governed by the relevant operating agreement, which is controlled by the Fund manager.

 

How liquid are these investments?

Refer to the Private Placement Memorandum (PPM) to learn more about the lock-in period for the specific Fund.

 

What are the fees to invest?

We offer full transparency regarding the fee structure for each real estate investment opportunity within the Private Placement Memorandum (PPM) documents.

 

How are legal documents handled in the investor portal?

All legal documents can be sent and signed electronically through our online investor portal, ensuring efficient and seamless document transfer while maintaining the authenticity and security of your information.

Investments are finalized once the proper legal documentation is accepted, funds are confirmed as received, and you receive the completed countersigned documents.

 

What type of reporting will I receive after I invest?

Investors can easily monitor their investments by logging into the investor portal, where they can view real-time updates on their portfolios. The portal provides detailed information on distributions to date, overall return on investment, and other essential metrics. Additionally, periodic email updates are sent to investors, keeping them informed about their investments. They are also promptly notified via email when distributions are deposited into their bank accounts.

GPM Capital Group LLC ensures transparency and timely communication by providing updates at least quarterly for the fund. These updates, accessible through both email and the investor portal, include performance summaries, market insights, and other relevant data.

Investors will also receive annual tax documents for each year they receive distributions from a particular real estate investment. These documents help streamline tax reporting and compliance.

 

Can I use a Self-directed IRA account or another type of retirement account for my investments?

GPM Capital Group LLC accepts investments from self-directed IRA accounts for all its investment opportunities, subject to your custodian’s processes and procedures. Please check with your current custodian to ensure compatibility with these investments. If not, we can refer you to other custodians who can assist.

Are investment returns guaranteed?

No. Investment returns are not guaranteed, and investors may risk losing the capital invested. Information regarding the fund is available via a Private Placement Memorandum (PPM).

If you're interested in any investment, please request and review the PPM. We strongly recommend consulting an attorney, CPA, or investment professional before making any investment decisions.

 

What is the minimum investment amount?

The minimum amount to invest in the Fund is $50,000. Once you have made the initial investment, you are allowed to invest additional amounts in smaller increments, provided you obtain approval from the fund manager.

Can I reinvest my interest instead of cashing out?

Yes, fund investors have the option to either receive their quarterly distributions or reinvest those earnings each month. By reinvesting, you can take advantage of the power of compound interest to grow your investment. You can change this election at any time.

Is the Fund audited and how is it regulated?

As a Regulation D, 506(b), investment fund, the GPM Capital Fund operates under the regulations of the California Finance Law Licensing, which is overseen by the Department of Financial Protection and Innovation. To ensure transparency and accuracy in its financial reporting, the Fund engages a reputable third-party accounting firm to conduct an annual audit of its financial statements. The results of these audits are meticulously documented and made available to Fund investors upon request, providing them with clear insights into the Fund's financial health and performance.
